Terms of Service

Effective date: [EFFECTIVE DATE]

These Terms of Service ("Terms") apply to your use of rebuiltdesignstudio.com (the "Site") and to services provided by [LEGAL ENTITY NAME] doing business as Rebuilt Design Studio ("Rebuilt," "we," "us") to you ("Client," "you"). If a signed proposal, statement of work or agreement ("Proposal") conflicts with these Terms, the Proposal controls.

1. Services

We provide website design and development, branding, logo design, design audits, AI and automation, website care plans, and growth/marketing services, as described on the Site and in your Proposal. The scope, deliverables, timeline and price for each project are set out in the Proposal. Anything not listed there is out of scope.

2. Proposals, quotes and payment

  • Quotes and Proposals are valid for [30] days unless stated otherwise. Prices on the Site are starting points. Your fixed quote is in your Proposal.
  • One-time projects: a 50% [PROPOSED] deposit is due before work starts, and the balance is due [at launch / on milestones: CONFIRM]. Invoices are due within [X] days.
  • Monthly plans: billed monthly in advance. Month-to-month, cancel any time with [notice period] before the next billing date. Unused included edit time rolls over one month, then expires.
  • Late payments may incur [late fee / interest, as permitted by law], and we may pause work until the account is current.
  • Hosting and domain costs are passed through at cost [PROPOSED]. Other third-party costs (stock assets, plugins, ad spend) are [passed through at cost / billed separately] unless the Proposal includes them.
  • Refunds: deposits are non-refundable once work starts [PROPOSED]. [Other refund terms: CONFIRM].

3. Client responsibilities and content

  • You'll provide timely content, feedback, approvals and access (do not send passwords by email; we'll use a secure method you approve).
  • You confirm that you own or have the rights to all text, images, logos, trademarks and other materials you provide ("Client Content"), and that they don't infringe anyone's rights or break any law. You grant us a license to use Client Content to perform the services.
  • You're responsible for the accuracy of claims on your site (such as licenses, reviews, pricing and results) and for your own legal compliance (for example, your privacy policy and marketing consent).
  • Delays caused by missing content or feedback may shift timelines and fees.

4. Revisions and changes

Each Proposal includes 2 [PROPOSED] rounds of revisions per [design phase / deliverable]. Extra revisions or scope changes are billed at $95/hour [PROPOSED] or by change order, approved in writing before the work is done.

5. Intellectual property and ownership

  • Transfer on payment: once we receive payment in full, we assign you ownership of the final deliverables created specifically for you (for example, the final site design, final logo files and custom copy), excluding the items below.
  • Until payment in full, all deliverables remain our property, and we may suspend or withhold them.
  • Our pre-existing materials (tools, code libraries, templates, know-how) remain ours. You receive a non-exclusive, perpetual license to use them as part of your deliverables.
  • Third-party materials (fonts, stock images, plugins, platforms such as the hosting or site builder) are subject to their own licenses.
  • Portfolio: unless you opt out in writing, we may show the completed work in our portfolio. We won't publish testimonials, results or your name as an endorsement without your written permission.

6. Website care and hosting

Care-plan inclusions are described on the Pricing page and in your Proposal. We don't guarantee uninterrupted uptime, and we're not responsible for outages or changes by third-party hosting, platforms or services.

7. Warranties and disclaimer

We'll perform the services in a professional and workmanlike manner. Except as stated above, the Site and services are provided "as is" and "as available," and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don't guarantee specific business results such as rankings, traffic, leads or revenue.

8. Limitation of liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, data or business. Our total liability arising from the services is limited to the fees you paid us for the services giving rise to the claim in the [3 / 12] months before the claim. [Legal review: confirm enforceability under the governing state's law.]

9. Indemnity

You'll indemnify us against third-party claims arising from Client Content or your use of the deliverables in violation of law. [Legal review: consider mutual indemnity.]

10. Term and termination

  • Either party may end a project with written notice if the other materially breaches these Terms and doesn't fix it within [10] days.
  • You may end a project for convenience with written notice. You'll pay for work performed and non-cancellable costs up to the termination date. The deposit is non-refundable once work has started [PROPOSED].
  • Monthly plans end at the close of the current paid period after cancellation.
  • Sections 3, 5 (for paid work), 7, 8, 9, 12 and 13 survive termination.

11. Use of the Site

Don't misuse the Site. That includes submitting false or unlawful content, trying to get unauthorized access, or interfering with it. Our Privacy Policy [link] explains how we handle information submitted through the Site.

12. Governing law and disputes

These Terms are governed by the laws of the State of [STATE], without regard to its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in [COUNTY, STATE] [or by arbitration: legal review to decide].

13. General

These Terms and any Proposal are the entire agreement on their subject. If any provision is unenforceable, the rest remains in effect. Neither party may assign the agreement without consent, except as part of a business transfer. Failure to enforce a provision isn't a waiver. Neither party is liable for delays beyond its reasonable control. Notices go to the email addresses in the Proposal.

14. Changes

We may update these Terms by posting a new version on the Site. Changes don't affect signed Proposals already in progress.
